We are delighted to be returning to the Hilton Glasgow for the first in our Scots Law 2023 Conference Series, exclusively available to delegates in person on the day.
When the economic backdrop is fragile, the success of corporate transactions can become highly dependent on clear and effective legal advice.
Chaired by Andrew Meakin of Morton Fraser this new conference will include an expert panel of speakers covering topics ranging from dealing with lenders, insolvency and venture capital investment to moveable transactions and data protection.
Questions to be considered will include:
- what are the protections sought by venture capital investors and why are they important?
- how do you deal with lenders in the current market?
- what are the key risk issues to consider in terms of data protection compliance?
- how does the Moveable Transactions (Scotland) Bill seek to help businesses raise finance using their moveable assets?
- what does corporate insolvency mean for directors?
- what are the consequences of the decisions made in recent corporate cases?
We look forward to welcoming you to this comprehensive conference only available in person at the Hilton Glasgow.
What’s being covered?
Venture capital investment – the protections required and their importance
The protections sought as venture capital investors in the Investment Agreement and Articles include reporting, investor consent matters, warranties, drag and tag and good leaver/bad leaver, but why are these protections important?
David Ovens, Archangels
Dealing with lenders in the current market
We will discuss: why the causes and the impact of any downturn in 2023 are not the same as in 2008; whether there will be a "tsunami of insolvencies"; how to advise borrower clients facing financial difficulties; how to advise lender clients dealing with borrower distress and some thoughts on compromise agreements.
Andrew Meakin, Morton Fraser
Data protection in commercial transactions – due diligence
This session will provide an update on data protection law post-Brexit including international transfers, the key risk issues to consider in terms of data protection compliance, reporting on these issues in a meaningful way and cyber security.
Laura Irvine, Davidson Chalmers Stewart
The Moveable Transactions (Scotland) Bill – the cavalry is coming
Moveable transactions law is of vital importance to the Scottish economy. It impacts on all moveable property and regulates the ability of businesses and individuals to use their moveable property to raise finance. For many businesses, the ability to raise finance using their moveable assets can make the difference between success and failure. However, the law as it stands is not fit for purpose. The Bill seeks to remedy this.
Andrew Kinnes, Shepherd & Wedderburn
Corporate insolvency - what does it mean for directors?
With a recession looming and corporate failures on the increase, what do company directors need to be alert to? Covering directors' duties in the wake of Sequana and wrongful trading, we'll also look at other issues which could give directors some pause for thought including personal guarantees and disqualification.
Nicola Ross, Morton Fraser
Corporate caselaw update
This presentation will review the main cases from courts in Scotland and England over the past 12 months concerning corporate law, considering the issues raised and the consequences of those decisions for clients and practitioners.
Catherine MacColl, Themis Advocates
